Creator Terms & Conditions

These Creator Terms & Conditions (the “Creator Terms”) govern your participation as a seller on the MyScrapBook Studio marketplace (the “Marketplace”). They apply in addition to the general Terms of Service and Privacy Policy, which continue to bind every user of the platform. Where a conflict exists between the general Terms of Service and these Creator Terms, these Creator Terms control for creator-specific conduct.

By submitting your first kit, bundle, or listing for review, you confirm that you have read, understood, and agreed to these Creator Terms.

1. Intellectual Property Rights and Ownership

1.1 Ownership of Your Content

You retain all ownership rights in the creative works (photos, illustrations, templates, fonts, design elements, and other digital assets) you upload and list on the Marketplace (“Creator Content”). MyScrapBook Studio does not claim ownership of your Creator Content.

1.2 License Granted to MyScrapBook Studio

By listing Creator Content on the Marketplace, you grant MyScrapBook Studio a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, publicly perform, distribute, promote, and create derivative works of your Creator Content solely for the purpose of operating, marketing, and improving the Marketplace, including:

This license persists for as long as the Creator Content is listed on the Marketplace and for a reasonable wind-down period (up to 60 days) after delisting, to allow for ongoing support of buyers who already purchased the content.

1.3 License Granted to Buyers

Buyers who purchase your Creator Content receive a non-exclusive, non-transferable, revocable personal-use license as defined in the general Terms of Service, Section 5. Buyers may not resell, redistribute, or claim ownership of any purchased Creator Content.

1.4 Your Representations and Warranties

You represent and warrant that:

1.5 Infringement Claims and DMCA

MyScrapBook Studio complies with the Digital Millennium Copyright Act (DMCA) and equivalent New Zealand copyright law. If we receive a valid infringement notice relating to your Creator Content, we may remove the affected content, suspend the associated listing, and, in the case of repeat infringement, terminate your creator account. You agree to indemnify MyScrapBook Studio against any claim arising from Creator Content you upload (see Section 9).

2. Revenue Split and Payment Terms

2.1 Standard Revenue Split

MyScrapBook Studio operates on a 70% creator / 30% platform revenue split for all Marketplace sales at the Starter, Verified, and Pro tiers. For every successful sale:

2.2 Payment Processing Deductions

Stripe processing fees, currency conversion fees, payout fees, refunds, chargebacks, and any applicable sales taxes or VAT collected on your behalf are deducted from the gross sale price before the 70/30 split is calculated, unless MyScrapBook Studio is legally required to remit tax directly (e.g. New Zealand GST on digital marketplaces). The exact calculation method is documented in your Creator Earnings dashboard.

2.3 Elite Tier Split

Creators who qualify for the Elite tier receive an enhanced 75% creator / 25% platform split. Elite qualification is determined by MyScrapBook Studio at its sole discretion based on criteria that may include sales volume, average rating, content quality, reliability, and marketplace contribution.

2.4 Payout Method

All payouts are processed through Stripe Connect. You must complete Stripe Connect onboarding — including identity verification and tax information — before any payout can be released. Earnings accrue in your creator balance until Stripe onboarding is complete.

2.5 Payout Schedule

Once Stripe Connect onboarding is complete, payouts are issued on a monthly schedule for all earnings that have cleared the refund and chargeback hold period (typically 14 days from sale). Minimum payout threshold is USD $25 (or equivalent); balances below the threshold roll over to the next payout cycle.

2.6 Refunds and Chargebacks

Refunds issued to buyers (whether voluntary, required by consumer protection law, or as the result of a chargeback) are deducted from your creator balance. If your balance is insufficient, the deduction applies to future earnings.

2.7 Price Changes

MyScrapBook Studio may introduce tiered pricing, promotional discounts, bundle discounts, or platform-wide sales. Where a discount is platform-funded (absorbed by MyScrapBook Studio), your revenue share is calculated on the full list price. Where a discount is creator-funded (opt-in promotion you enable), your share is calculated on the discounted price.

2.8 Taxes

You are solely responsible for reporting and paying any income tax, self-employment tax, GST/VAT, or other tax arising from your Marketplace earnings in your jurisdiction. MyScrapBook Studio does not provide tax advice. Where MyScrapbook Studio is legally obligated to collect and remit marketplace-facilitator taxes on your behalf (e.g. NZ GST, EU VAT, US sales tax), we will do so and reflect the deduction in your earnings dashboard.

2.9 Revenue Split Changes

MyScrapBook Studio reserves the right to adjust the standard revenue split, Elite tier split, payout schedule, or minimum threshold with at least 30 days' prior notice to active creators via email and in-app notification. Continued listing of new content after the effective date of the change constitutes acceptance of the new terms. Pending earnings accrued before the change are settled under the prior split.

All new listings, and all substantive updates to existing listings, enter apending_review state and are reviewed by the MyScrapBook Studio team before publication. Review usually completes within 5 business days. We may approve, reject with feedback, or request revisions. Rejected listings may be resubmitted after the issues have been addressed.

3.5 Maintenance Obligations

You are expected to respond to buyer questions, fix defects reported in the first 30 days after sale, and keep listings accurate when content is updated.

4. Prohibited Content

You agree not to upload, list, or sell any Creator Content that:

Derivative copies of MyScrapBook Studio's proprietary templates, sample kits, or free content are not permitted.

5. Account Termination Conditions

5.1 Termination by You

You may close your creator account at any time by contacting memories@myscrapbookstudio.com. Upon closure:

5.2 Termination by MyScrapBook Studio — For Cause

MyScrapBook Studio may immediately suspend or terminate your creator account, withhold pending earnings subject to investigation, and remove all associated listings if you:

5.3 Termination by MyScrapBook Studio — For Convenience

MyScrapBook Studio may terminate your creator account for any reason on 30 days' written notice, during which time you retain access to your earnings dashboard and can download your sales records. Pending earnings are paid out on the standard schedule.

5.4 Effect of Termination

Termination does not relieve you of obligations incurred before termination (including indemnification and support obligations for prior sales). Sections 1.4, 1.5, 2.6, 2.8, 6, 7, 8, 9, and 10 survive termination.

5.5 Withheld Earnings on Fraud Investigation

Where fraud, chargeback abuse, or serious infringement is suspected, earnings may be held for up to 180 days pending investigation. You will be notified in writing and given an opportunity to respond.

6. Dispute Resolution Process

6.1 Buyer Disputes

Disputes between you and MyScrapBook Studio (e.g. regarding payout calculations, listing rejection, or account suspension) must first be raised in writing to memories@myscrapbookstudio.com. We will respond within 10 business days with a written decision.

6.3 Escalation and Governing Law

If internal resolution fails, disputes are subject to the exclusive jurisdiction of the courts of New Zealand and governed by New Zealand law, as stated in Section 13 of the general Terms of Service. Nothing in this section limits your rights under mandatory consumer protection laws in your jurisdiction.

6.4 No Class Actions

To the extent permitted by law, you and MyScrapBook Studio each agree that disputes will be resolved on an individual basis and not as part of a class, collective, or representative action.

7. Data Handling and Privacy

7.1 Privacy Policy

Your personal data is processed in accordance with the MyScrapBook Studio Privacy Policy, which governs how we collect, store, share, and protect your personal information.

7.2 Payout and Tax Data

Payout and tax data is processed by Stripe under Stripe's own Privacy Policy and Stripe Connected Account Agreement. MyScrapBook Studio does not receive or store your full banking details — only the reference tokens required to authorise payouts.

7.3 Buyer Data

You will receive aggregated, anonymised sales data through the creator dashboard. You will not receive personally identifying information about buyers unless the buyer voluntarily provides it (for example, through a support message). You agree not to contact buyers outside the Marketplace messaging system without their consent, and not to use buyer data for marketing, profiling, or reselling.

7.4 Analytics and Metrics

MyScrapBook Studio may use aggregated, de-identified data about your sales, views, and ratings to improve the platform, produce benchmarking reports, and train recommendation systems. No individual buyer or creator is identified in these datasets.

7.5 GDPR, NZ Privacy Act, and Deletion Requests

You agree to cooperate with any legitimate data subject request (access, correction, deletion) received by MyScrapBook Studio under the NZ Privacy Act 2020, GDPR, CCPA, or equivalent law, to the extent the request relates to Creator Content or creator-side processing.

8. Modification of Terms

8.1 Right to Modify

MyScrapBook Studio may update these Creator Terms from time to time to reflect changes in law, business practice, product features, or revenue models. The latest version is always available at myscrapbookstudio.com/creator-terms.

8.2 Notice of Material Changes

For any material change (including changes to Sections 1, 2, 4, 5, or 6), MyScrapBook Studio will give at least 30 days' prior notice by email to the address associated with your creator account and by in-app notification on the creator dashboard.

8.3 Re-Acceptance Required

After a new version of the Creator Terms takes effect, you will be required to re-accept before submitting any new listing (or substantive listing update) for review. Existing published listings remain live during the transition.

8.4 Minor Changes

Non-material changes (typographical corrections, clarifications, changes to contact details, formatting) may be made without notice, provided they do not reduce your rights or increase your obligations.

8.5 Versioning

Each revision of these Creator Terms is assigned a version number (e.g. 1.0, 1.1, 2.0) and an effective date. MyScrapBook Studio records the version you accepted and the timestamp of acceptance in your creator profile. You can view your acceptance history at any time from the creator dashboard.

8.6 Rejection of New Terms

If you do not wish to accept a new version, you may close your creator account under Section 5.1. Existing buyers remain licensed to content they already purchased.

9. Indemnification

You agree to defend, indemnify, and hold harmless MyScrapBook Studio, its officers, directors, employees, agents, and contractors from and against any claim, demand, loss, liability, damage, cost, or expense (including reasonable legal fees) arising out of or related to:

Acceptance Record

When you accept these Creator Terms via the creator dashboard, MyScrapBook Studio records your creator profile ID, the version number accepted (currently 1.0), the UTC timestamp of acceptance, and the originating IP address for fraud prevention. This record is available to you on request.
